Constitution

Constitution

1.     Name
The name of the group shall be the "Friends of Angel Meadow & St. Michael's" hereafter called "the Group."
2.     Objective
The primary objective of the group shall be to improve Angel Meadow Park & St. Michaels' Flags. 
I
n support of this, the Group will aim to:

​a.     Promote the protection, safe use and enjoyment of visitors, staff and property of Angel Meadow Park, and to promote the prevention of criminal acts at the said Park.b.      Act as a voice for the local people, residents and users of the Park.
c.    Coordinate with the Parks Department of Manchester City Council to facilitate the    improvements to Angel Meadow Park.
d
.       Encourage new facilities/activities/events which are in keeping with the Park's history  and tradition and current make-up of the community.
e
.      Explore and seek new sources of funding to achieve these aims.

3.     Authority
In furtherance of the said objective above, but not further or otherwise, the Group shall have the following powers:
a.     To raise funds and to invite and receive contributions provided that in raising funds the Committee shall not undertake any substantial permanent trading activities and shall conform to any relevant requirements of the law.
b
.    To employ on such terms and conditions employment as the Group shall determine any paid or voluntary worker or workers to assist in the attainment of the said objective.
c
.     To buy, take on lease or exchange any property necessary for the achievement of the objective and to maintain and equip it for use.
d
.       Subject to any consent require by law to sell, lease or dispose of all or any part of the property of the Friends Group.
e
.     To help identify through local authorities, Councillors, Police where help or assistance may be given to help improve areas of the park.
f
.       To encourage more interest by the council and improve the maintenance standards by communication with the council.
g
.    To be a steering group who must be consulted before any major development of the park.

h
.      To do such other lawful things further the attainment of the said objective.
4.     Membership
a.     Membership is open to all and is free.
b.    The committee members shall have the right for good and sufficient reason terminate the membership of any member provided that the member concerned shall have the right to be heard by the Group before a final decision is made.
c
.     Every member shall contribute time as appropriate and voluntarily as agreed by the Group.

5.     Committee
a.     At the AGM hereinafter mentioned, the group shall elect a Chair, a Secretary and a Treasurer (hereinafter called "the committee") being persons who are members of the Group.
b
.    Unless Committee members tenders their resignation in writing to other committee members they shall hold office until conclusion of the next Annual General Meeting after their election, but shall be eligible for re-election.

6. General Meetings
a.     The first General meeting of the Group shall take place not later than May 2004 and once in each year thereafter an Annual General Meeting of the Group shall be held at such time (not being more than 15months after the holding of the previous AGM) and place as the Committee shall reasonably determine. 
At such an AGM the business of the meeting shall include:
                                      i.        The receipt of the Annual Report and the Accounts for the preceding year.
                                     ii.        The election of Committee Members.
                                    iii.        The discussion of an annual subscription.
                                    iv.        The transaction of such matter as from time to time may be necessary.
b.    The Committee members may at any time call a Special Meeting of the Group.
c. Notification of a meeting shall be given via the Friends Group website http://www.friends-of-angel-meadow.org and flyers in apartment blocks in the vicinity of the park not less than 14 days prior to the meeting.
7. Quorum
a.     No general meeting shall proceed to business unless a minimum of one third of the total number of members including at least 2 committee members are present.
b
.    All questions arising at any meeting shall be decided by a simple majority of those present.
8. Finance
a.  The treasurer shall keep accountancy records for the Group, prepare an annual statement of accounts for the Group, arrange independent examination of the accounts and submit a statement of the accounts at the AGM.
b
.   The funds of the group shall be applied in furtherance of its objective and no other purpose, and no payment shall be made to any member except reasonable and proper out of pocket expenses.
c
.    A bank account shall be opened in the name of the Group with such banks as the committee members deem appropriate.
d
.   Each of the Committee members may sign cheques raise on behalf of the Group through the Group's bank account. Two authorised signatories must sign all cheques.
9. (Alternations to the Constitution
No alternation, additions or amendments to this constitution shall be made except at a General      meeting of the Group called for such a purpose.

10. Equal Opportunities
The Friends of Angel Meadow & St. Michael's will ensure that everyone is given the opportunity to become involved fully and equally regardless of race, gender, age, sexuality, disability or religion.
11. Dissolution
The Group may be dissolved by a resolution passed by two-thirds majority of those present and voting at a Special Meeting convened for the purpose of which 21 days notice shall be given. Any assets held will be aid to a suitable charity to be decided as part of the resolution for dissolution of the Group.
This constitution was adopted as the Constitution of the Friends of Angel Meadow & St. Michael's; Manchester at a Public Meeting held The Marble Arch, Rochdale Road, Manchester on 22nd April 2004.
